By accessing or using the Services—or clicking “accept” when prompted—you agree to be bound by this Agreement on behalf of yourself or the entity you represent.

By using the Services, you consent to receive communications from us, including:

• Appointment confirmations

• Account information

• Product information

• Marketing messages

• Responses to help requests

• Webchat replies

• Opt-in and opt-out confirmations

Communications may be sent by email, SMS/text message, or other electronic means.

2. Eligibility Requirements

To use the Services, you must:

1) Be at least 18 years old

2)Reside in the United States, Canada, or the United Kingdom

3)Not be a competitor or using the Services for competitive purposes

By using the Services, you represent and warrant that you meet all these requirements and have the authority to enter into this Agreement.


3. Changes to the Agreement

We may update this Agreement at any time in our sole discretion.
Except for legal/administrative changes, we will provide reasonable advance notice before changes take effect.

Your continued use of the Services after changes become effective constitutes your acceptance of the updated terms.


4. Access to the Services

5. Using the Services

You may use the Services only for lawful purposes. You agree not to:

- Violate any laws or contractual obligations

- Impersonate any person or entity

- Harm or exploit minors

- Upload content violating these Content Standards

- Interfere with others’ use of the Services

- Interfere with or disable the Services’ infrastructure

- Scrape, crawl, or copy content

- Upload viruses, malware, or harmful code

- Attempt to gain unauthorized access to any system

- Reverse engineer or attempt to obtain source code

- Collect data about users without their consent

- Attempt, or assist others in attempting, any of the above

• Geographic Restrictions

The Services are intended for users located in:

- United States

- Canada

- United Kingdom

Use outside these regions is at your own risk.


6. Terms & Conditions of Sale

• 6.1 Purchasing Process

When placing an order, you will:

2)Provide required contact and payment information

3)Review your order

4)Submit your order, agreeing to pay the listed price

• 6.2 Order Submission

Submitting an order:

- Creates a binding contract

- Obligates you to pay all listed costs

- Requires your cooperation if we need additional information

- Generates an order receipt sent to your email

• 6.3 Pricing

You will be informed of all fees, taxes, and charges during checkout.

• 6.4 Payment Methods

Payments are processed through third-party vendors.
We do not store credit card information.

If your payment fails or is refused, we are not obligated to fulfill your order.

• 6.5 Retention of Rights

You do not acquire rights to use purchased Services until we receive full payment.


7. Subscriptions

• 7.1 General

Subscription Services renew on a schedule described at purchase.
Service access may be interrupted if payment is not received.

• 7.2 Fixed-Term Subscriptions

These run for the full period purchased and cannot be terminated early.

• 7.3 Automatic Renewal

Subscriptions automatically renew unless canceled within the timeframe provided.

• 7.4 Termination

You may cancel recurring subscriptions at any time by:

- Written notice, or

- Using cancellation controls within the Website

Cancellations take effect at the end of the current billing period.


8. Intellectual Property Rights

• 8.1 Ownership

All content, features, and functionality (“Content”) are owned by the Company or its licensors and protected by U.S. and international intellectual property laws.

• 8.2 License

We grant you a limited, non-exclusive, non-transferable, revocable license to use the Services for your internal business use.

• 8.3 Restrictions

You may NOT:

- Copy, modify, or distribute the Content

- Create derivative works

- Sell, sublicense, or exploit the Content

- Remove copyright notices

- Use the Content to compete with us

- Aggregate or compile our content into a database

• 8.4 Trademarks

All trademarks on the Site belong to us or their respective owners.
You may not use them without written permission.


9. User Content

You are solely responsible for any content you submit (“User Content”).
User Content is considered non-confidential and non-proprietary.

• 9.1 License to Us

You grant us a worldwide, perpetual, transferable, royalty-free license to:

- Reproduce

- Distribute

- Display

- Modify

- Create derivative works

- Sub-license your content

• 9.2 Group Coaching / Community Forums

Anything you share in groups or community spaces may be visible to others.
We cannot guarantee confidentiality of information shared in these settings.

• 9.3 Content Standards

User Content must not:

- Violate laws

- Promote illegal activity

- Infringe intellectual property rights

- Defame, threaten, abuse, or harass

- Contain obscene or discriminatory content

- Be misleading or fraudulent

- Imply Company endorsement

• 9.4 Monitoring

We may:

- Remove content

- Terminate accounts

- Disclose information to authorities

- We do not pre-screen content and are not liable for user interactions.


10. DMCA / Copyright Infringement

If you believe your copyrighted work has been infringed, send a DMCA notice to our Designated Agent:

Any feedback you provide becomes our property, and we may use it freely without restriction or compensation.

We make no guarantees regarding the accuracy or suitability of content.

This includes, but is not limited to:

- Warranties of merchantability

- Fitness for a particular purpose

- Non-infringement

We do not guarantee:

- Business results

- Revenue or income

- Uninterrupted service

- Error-free operation

- Virus-free systems

Some jurisdictions do not allow exclusions of implied warranties; in such cases, warranties are limited to 90 days.


16. Limitation of Liability

To the fullest extent permitted by law, we are not liable for:

- Loss of revenue

- Loss of data

- Loss of goodwill

- Lost business opportunities

- Consequential or punitive damages

YOUR EXCLUSIVE REMEDY FOR DISSATISFACTION WITH THE SERVICES IS TO STOP USING THEM.


17. Indemnification

You agree to indemnify and hold harmless Tactical Strategies, LLC and its officers, employees, agents, and affiliates from all claims, damages, losses, liabilities, and costs arising from:

- Your use of the Services

- Your User Content

- Your breach of this Agreement

We may assume exclusive defense of any claim at your expense.


18. Disputes

• 18.1 Governing Law

This Agreement is governed by the laws of the State of Maine.

• 18.2 Venue

Any legal action must be brought in state or federal courts located in Penobscot County, Maine.

• 18.3 Arbitration

At our discretion, disputes may be resolved through binding arbitration under AAA rules in Penobscot County, Maine.

Arbitration must be:

- Individual (not class-based)

- Final and binding

You waive:

- Right to jury trial

- Right to participate in class actions

• 18.4 Time Limitation

ANY CLAIM MUST BE FILED WITHIN ONE (1) YEAR OR IT IS FOREVER BARRED.


19. Miscellaneous

Waiver

Failure to enforce any term is not a waiver of that term.

Severability

If any part of this Agreement is invalid, the remaining terms remain in full effect.

Entire Agreement

This Agreement supersedes all prior agreements related to the Services.

Headings

Headings are for convenience only.

No Agency

Nothing creates a partnership, joint venture, or agency relationship.

Assignment

You may not assign your rights or obligations without our consent.
We may assign ours at any time.


20. SMS Opt-Out

You may cancel SMS communications at any time by texting STOP.
Text HELP for assistance.

Carriers are not liable for delayed or undelivered messages.

You can cancel the SMS service at any time. Just text "STOP" to the (207) 945-7201. After you send the SMS message "STOP" to us, we will send you an SMS message to confirm that you have been unsubscribed. After this, you will no longer receive SMS messages from us.

Carriers are not liable for delayed or undelivered messages.

As always, message and data rates may apply for any messages sent to you from us and to us from you. You will receive no more than three messages per appointment. If you have any questions about your text plan or data plan, it is best to contact your wireless provider.


21. Export Laws

You agree to comply with all U.S. export control laws.
